Terms of Service

1. Acceptance of Terms

By accessing, registering for, or using the Race Challenges platform (website, mobile applications, and associated services), you agree to be bound by these Terms of Service, our Refund Policy, our Privacy Policy, and all applicable laws and regulations in Trinidad and Tobago and the wider Caribbean. If you do not agree with any of these terms, you must immediately discontinue use of the platform and refrain from registering for any events.

2. Eligibility and Minor Participants

You must be at least 18 years old to register for events independently on Race Challenges. Users between the ages of 13 and 17 ("Minor Participants") may participate in challenges only with the explicit consent and approval of a parent or legal guardian, confirmed via the parental consent agreement upon challenge registration.

• Minor Participants must be at least 13 years of age to register for or participate in any challenge on the platform.
• When registering for a challenge, Minor Participants must confirm that their parent or legal guardian has granted permission for their participation and agreed to these Terms of Service and the Privacy Policy.
• The consenting parent or legal guardian assumes full legal and financial responsibility for the Minor Participant, including ensuring their medical fitness and safety during physical and virtual events.
• Minor Participants may appear on public leaderboards using their display name and finish metrics.

3. Platform Role, Nature of Services, and Non-Financial Entity Disclaimer

Race Challenges operates strictly as a specialized endurance sports technology platform, event registration marketplace, and authorized limited commercial ticketing agent connecting participants, runners, walkers, cyclists, and fitness enthusiasts with virtual challenges and independent physical event organizers.

• Limited Commercial Billing Agent: When an event organizer lists a challenge on Race Challenges, the organizer formally appoints Race Challenges and Caribbean AI and Data Solutions Limited as its authorized limited commercial agent (Merchant of Record) for the exclusive purpose of processing registrations, selling event tickets/entries, and receiving registration proceeds on the organizer's behalf. Payment of registration fees by a participant to Race Challenges constitutes full, final, and complete satisfaction and discharge of the participant's payment obligation to the event organizer for that event.
• Non-Financial Institution / No Money Transmission: Race Challenges and Caribbean AI and Data Solutions Limited are NOT a bank, financial institution, non-regulated financial institution, money or value transfer service (MVTS) provider, money remitter, payment service provider (PSP), e-money issuer (EMI), or deposit-taking entity under the Financial Institutions Act, Chap. 79:09, the Financial Intelligence Unit of Trinidad and Tobago Act, Chap. 72:01, the Proceeds of Crime Act, Chap. 11:27, or the Central Bank of Trinidad and Tobago E-Money Issuer Order. The platform does not engage in money remittance, escrow services, or currency transmission.
• No Digital Wallets or Stored-Value Facilities: Race Challenges does NOT operate or provide digital wallets, e-money accounts, stored-value facilities, pre-funded balances, or customer deposit accounts. Neither participants nor organizers are permitted to deposit funds, maintain discretionary stored cash balances, or perform peer-to-peer monetary transfers. Any figures, balances, or amounts displayed on organizer dashboards represent strictly internal, non-transferable commercial accounting ledger entries (trade payables / ticket sales reconciliations) reflecting unsettled registration sales proceeds pending post-event commercial disbursement, and do not constitute bank deposits, electronic money, or stored monetary value.
• Independent Event Organizers: Unless explicitly stated in writing, Race Challenges is not the organizer of third-party events. Third-party organizers are independent commercial entities solely responsible for the planning, course layout, municipal permitting, police escorts, traffic management, volunteer staffing, medical stations, hydration, safety measures, awards fulfillment, and overall execution of their physical events.

4. Physical Events — Assumption of Risk and Safety

Participation in physical road races, 5Ks, 10Ks, half marathons, marathons, trail runs, walking challenges, cycling, and other in-person physical sporting events carries substantial inherent hazards and risks.

Inherent Risks of Physical Events

By registering for or participating in any physical or in-person event listed on Race Challenges, you acknowledge, understand, and voluntarily assume all risks, both known and unknown, associated with physical event participation, including but not limited to:

• Traffic and Vehicles: Collisions with motor vehicles, bicycles, motorized equipment, course vehicles, or spectators on open or partially closed public roadways, streets, intersections, and parking facilities.
• Course Conditions: Tripping, slipping, or falling due to potholes, uneven pavement, gravel, loose dirt, wet surfaces, curbs, tree roots, steep terrain, obstacles, or debris along the course.
• Weather and Environmental Hazards: Extreme Caribbean heat, high humidity, sun exposure, dehydration, heat cramps, heat exhaustion, heat stroke, sudden heavy tropical rain, lightning, flash flooding, slippery roads, or poor visibility.
• Physical and Medical Emergencies: Heart attacks, strokes, respiratory failure, muscle tears, fractures, sprains, animal encounters, insect stings, viral or bacterial illnesses, physical contact or collision with other runners/participants, and other severe bodily injuries or death.
• Property Loss: Loss, theft, or damage to personal items, gear, bibs, electronic devices, or vehicles.

Participant Safety Obligations

• Medical Fitness: You certify that you are medically fit, adequately trained, and have obtained necessary medical clearance from a licensed physician before participating in any strenuous physical event.
• Compliance with Rules & Marshals: You agree to follow all instructions, safety advisories, and course rules given by event directors, course marshals, medical staff, and local law enforcement. You agree to stay on designated routes and obey all applicable traffic laws.
• Emergency Medical Consent: You authorize event organizers and medical personnel to administer emergency medical treatment and transport if deemed necessary during an event, at your own financial responsibility.

5. Virtual Challenges — Terms and Rules

Virtual challenges allow you to complete race distances on your own time and choosing your own routes (neighborhood streets, parks, treadmills, local tracks).

• Self-Directed Routes: You are solely responsible for choosing safe, well-lit, and lawful running or walking locations. Race Challenges does not inspect, recommend, or maintain any public or private pathways you use for virtual runs.
• Activity Submissions: All submitted activity proof (GPX files, Strava/Garmin data, treadmill photos) must be genuine and completed by you within the designated challenge dates. We reserve the right to verify submissions, reject fraudulent entries, and remove illegitimate leaderboard rankings.
• Finisher Medals: Collectible finisher medals are awarded upon verified challenge completion. Medals must be claimed or collected at designated pickup hubs during the specified distribution window. Unclaimed medals may be forfeited after the pickup deadline.

6. Complete Waiver, Release of Liability, and Indemnification

PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS A COMPREHENSIVE RELEASE OF LEGAL CLAIMS.

Participant Release of Liability

To the maximum extent permitted by applicable law, you (on behalf of yourself, your personal representatives, heirs, executors, administrators, next of kin, and assigns, and on behalf of any Minor Participant enrolled under your account) hereby forever RELEASE, WAIVE, DISCHARGE, AND HOLD HARMLESS Race Challenges, Caribbean AI and Data Solutions Limited, and their respective founders, directors, officers, employees, affiliates, contractors, agents, and platform partners (collectively, the "Released Parties") from ANY AND ALL claims, demands, losses, causes of action, damages, liabilities, costs, or expenses (including legal fees) arising out of or related to:

• Any personal injury, illness, permanent disability, death, or property damage sustained before, during, or after participating in any physical race or virtual challenge.
• The acts, omissions, negligence, road closures, crowd management, or medical response of any independent physical event organizer, venue host, volunteer, or municipal agency.
• Any route guidance, GPS tracking data, elevation profiles, or elevation calculations displayed on the platform, which are provided for general reference and estimation purposes only.

Event Organizer Indemnification

Any individual, club, corporation, or entity listing, promoting, hosting, or managing a physical or virtual challenge on the Race Challenges platform agrees to DEFEND, INDEMNIFY, AND HOLD HARMLESS the Released Parties from and against any and all claims, lawsuits, damages, penalties, fines, losses, and legal expenses arising out of:

• The organization, execution, safety, course conditions, road permits, police escorts, crowd control, or incidents occurring at their physical event.
• Any injury, death, or property loss suffered by participants, spectators, volunteers, or third parties during the organizer's event.
• Any violation of local laws, municipal ordinances, copyright/trademark infringements, or failure to deliver promised awards, shirts, or finisher medals.

7. Registration Fees, Commercial Ticketing Agency, Bank Transfers, and Organizer Settlements

Payment Methods and Online Processing

Event registrations, merchandise, and gift purchases are securely processed through our authorized digital payment gateway partners (including Wam and WiPay). We accept Visa credit/debit cards, Visa Debit, and Mastercard. Card details are securely tokenized and encrypted in PCI-DSS compliant environments; Race Challenges never stores raw card numbers.

Centralized Bank Transfer Policy & Commercial Agent Collection

To protect participants, maintain platform transparency, and ensure accurate sales accounting, all direct bank transfer payments for any challenge hosted on the Race Challenges platform (including independent third-party organizer events) are governed by the following commercial sales policy:

• Commercial Agent Collection: All bank transfer payments must be remitted directly to Race Challenges' designated business bank account. Race Challenges acts exclusively as the authorized commercial billing agent (Merchant of Record) and ticketing platform for all challenges hosted on the platform. Bank transfers represent direct point-of-sale payments for specific event entry tickets/services, not financial deposits, stored-value transfers, or money remittances.
• Platform Fee Deductions: Race Challenges receives all gross ticket sales proceeds from bank transfers on behalf of the organizer, deducts and retains its earned platform commissions, service fees, and administrative charges first, and subsequently settles the remaining net trade balance with the respective event organizer according to established commercial settlement schedules.
• Provisional Registration & Admin Verification: Any registration initiated via bank transfer is strictly provisional until the participant uploads a clear, legible payment receipt/screenshot and the transaction is matched with bank records and approved by Race Challenges administrators. Once verified, the participant's bib number and challenge enrollment are formally issued and confirmed.
• Prohibition of Direct Organizer Payments: Organizers are strictly prohibited from soliciting, advertising, or accepting direct bank transfers or off-platform payments to their personal or separate business accounts for any event listed on Race Challenges. Any registration resulting from off-platform transfers not routed through Race Challenges will not be recognized by the platform, and the organizer assumes all legal, financial, and regulatory liabilities arising from such unauthorized transactions.
• Misdirected or Inaccurate Transfers: Race Challenges bears no liability or responsibility for bank transfers sent to incorrect account numbers, third-party accounts, or incomplete reference codes. Participants are solely responsible for verifying the platform's banking details provided at checkout and ensuring their full name and unique payment reference are included in the bank memo.

Organizer Commercial Settlements & Trade Payables

Disbursements from Race Challenges to organizers are commercial trade payable settlements for sold event registrations, and do not represent banking withdrawals, e-money redemptions, or digital wallet payouts:

• 50% Capacity Milestone Disbursement: Organizers become eligible to request an initial commercial disbursement of up to 50% of their net accumulated ticket sales proceeds once their challenge achieves at least 50% participant registration capacity, subject to administrative sales reconciliation.
• Final Trade Settlement: The remaining net commercial balance is disbursed following the conclusion of the event window, completion of finisher submissions review, and fulfillment of all organizer obligations (such as medal delivery to designated hubs).
• Banking Information: Organizers are responsible for providing valid, accurate bank account details in their organizer settings. Race Challenges is not liable for delayed settlements resulting from incorrect or outdated banking details provided by the organizer.

Refund Policy

All registration payments are governed by our official Refund Policy, which is incorporated into these Terms:

• General Non-Refundable Policy: All event registration fees (whether paid via card or bank transfer) and gift code purchases are final and non-refundable once completed.
• No Personal Refunds: Refunds are NOT provided for change of mind, personal scheduling conflicts, failure to train, travel issues, deciding not to participate, selecting the wrong event category, registration errors, or entries completed by another person on your behalf.
• Event Rescheduling and Force Majeure: In the event a physical race is postponed, delayed, rerouted, or modified due to inclement weather, tropical storms, police/governmental directives, public safety concerns, or other force majeure occurrences, registrations will transfer to the rescheduled date or virtual alternative. Registration fees remain non-refundable.
• Technical Platform Errors: Refunds are strictly evaluated for verified duplicate charges or technical billing errors where payment was processed but registration failed, subject to the conditions outlined in our Refund Policy.

8. Account Security and Prohibited Conduct

You are responsible for maintaining the confidentiality of your account credentials. You agree not to:

• Submit false, falsified, motorized, or manipulated GPS and activity data.
• Interfere with, scrape, reverse-engineer, or deploy automated bots against the platform.
• Attempt to manipulate leaderboards, contest rankings, or finisher rewards.
• Harass, threaten, or abuse other participants, organizers, or administrators.
• Create multiple accounts to bypass registration limits or event rules.

9. Intellectual Property and User Content

All brand elements, logos, artwork, maps, software, and UI design on Race Challenges are the property of Race Challenges and Caribbean AI and Data Solutions Limited. You retain ownership of personal photos and content you upload, but grant Race Challenges a non-exclusive, worldwide, royalty-free license to display your activity data, photos, and leaderboard rankings across the platform and promotional channels.

10. Limitation of Liability

To the fullest extent permitted by law, in no event shall Race Challenges, Caribbean AI and Data Solutions Limited, or their directors, officers, employees, or agents be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, participation in physical or virtual events, or inability to access services, even if advised of the possibility of such damages. In all cases, total cumulative liability shall not exceed the amount paid by you for the specific event registration in dispute.

11. Governing Law and Jurisdiction

These Terms of Service shall be governed by, construed, and enforced in accordance with the laws of the Republic of Trinidad and Tobago. Any legal action or dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Trinidad and Tobago.
